MaxClass is being developed by a small team using extremely efficient technology. But of course it costs money so we are looking for investors. Symbid the new crowd funding platform has gone live, and you (our favorite part of the crowd) can now invest in MaxClass. I’ll explain how it works below (do read it) and then all you need to do is follow these steps. 

  1. Go to Symbid  
  2. Login with your LinkedIn account (or another account)
  3. Register and buy some ‘parts’ (shares of 20 Euro, some investors have gone up to 50 parts!)
  4. Invest them in de ‘idea’ MaxClass. Done!

MaxClass is asking the crowd to invest.

Maximonster Interactive Things, the company behind MaxClass has presented itself on the Symbid crowd funding platform. We are looking for a total of 400.000 for the first 18 months of operation, 145.000 of which is being raised by crowd funding.

We (Michiel Klønhammer and Marc Worrell) started work in 2010 founded the company in September. We invested 120.000 and a loan of 130K. This was enough to develop the first version of MaxClass and go live.  A few hundred first classes have started trying MaxClass out, so we’ve made an excellent start. We even have a first sponsor! (Pearson Education) while we projected that we would earn nothing in 2011.

 

What are we looking for and what do you get?

We are looking for a final145 K from the crowd. We are giving away 10% of our equity for this.
This is not a loan but a real investment.

 

So how does it work?

Crowd Funding on the Symbid platform is pretty straightforward. This is how it works. Please refer to the Symbid-platform for a more detailed description.

-       You register an account at Symbid and then buy ‘parts’ of 20 Euro.

-       During this registration process, you will have to agree with terms of services, privacy policies etc. We have had a lawyer look at it all and we didn’t see any major problems. Of course, terms always avoid any liabilities (e.g. if the Symbid-server goes down, the guys at Symbid will do their best but won’t be formally responsible) so there is always some risk. And of course you should judge this for your self.

-       You pay 2.5% + tax to Symbid.

-       This money (excluding the 2.5%) goes into your account and then you invest in an idea (MaxClass!). If you want, you can move the money to another idea but you cannot move it out of Symbid until you sell the parts. This is because Symbid is not a bank and would have to adhere to other financial rules if you could do that.

-       Once the investors (you!) have invested the target amount (145 K), everyone becomes a member of a cooperation, which is a Dutch legal entity (often used by farmers investing together). The cooperation has a board (Michiel Klønhammer and ….) and will have a yearly meeting with official financial statements.

-       The corporation has a deed which describes your rights. This deed was also looked at by a lawyer and considered a reasonable document. Again, this is not a guarantee and you can judge all documents (which are presented on Symbid) yourself.

-       We are accepting investments up to 4.9% of 145.000 per person. For private people this means you are taxed with Box 3 taxes (Dutch tax-law). But that means you can still go up to 7.105 euro.

-       Once the company has grown, you may sell your parts to another member (you can contact each other through the Symbid system) or someone else, though Maximonster has a right to veto transfers (for example to stop competition buying parts). If the company is sold, you will be asked to sell the parts, hopefully with a good profit.

-       If MaxClass is not successful, it is possible that you will lose your money.

We hope you will earn your money back and more, but we also consider investments do be supportive of the idea that communication in and around schools can be so much better. MaxClass will try and achieve this goal.
